Spronet Partner Terms of Service

1. Relationship
Your relationship with Spronet Nig Ltd ("Spronet") is that of an independent service partner. Nothing in this agreement creates an employment, agency, joint venture, or franchise relationship between you and Spronet.
2. No Authority to Act on Behalf of Spronet
As a partner, you do not represent Spronet and are not authorized to act, negotiate, or make commitments on behalf of Spronet. You shall not use Spronet's name, logo, or trademarks in any way that implies agency or endorsement beyond the scope of your listed services on the platform.
3. Portal Access & Account Scope
Your partner portal account is a limited-access account designed exclusively for managing service inquiries submitted by Spronet platform users. It does not grant access to user accounts, transaction data, financial information, or any other platform features beyond inquiry management.
4. Data Privacy & Confidentiality
All user information shared through the inquiry system (names, emails, phone numbers, and service details) is shared solely for the purpose of fulfilling the service request. You must:
- Not share, sell, or distribute user data to any third party.
- Not use user data for unsolicited marketing or communications beyond the inquiry scope.
- Handle all user data in compliance with applicable data protection laws (including the Nigeria Data Protection Regulation).
- Delete or anonymize user data upon request from Spronet.
5. Service Standards
As a Spronet partner, you are expected to:
- Respond to new inquiries within 24 hours.
- Provide accurate quotes and honest service descriptions.
- Deliver services professionally and in accordance with industry standards.
- Maintain active communication with users throughout the service lifecycle.
6. Liability & Indemnification
Spronet facilitates introductions between users and partners but is not a party to any service agreement between you and a user. You bear full responsibility for the quality, delivery, and any disputes arising from your services. You agree to indemnify and hold Spronet harmless from any claims, damages, or liabilities arising from your services.
7. Termination
Either party may terminate this partnership at any time. Spronet reserves the right to deactivate your partner account and remove your services from the platform without prior notice in cases of:
- Violation of these terms.
- User complaints or poor service quality.
- Misuse of user data.
- Misrepresentation of services or affiliation with Spronet.
8. Modifications
Spronet may update these terms at any time. Continued use of the partner portal after changes constitutes acceptance of the updated terms. We will notify your registered business email of any material changes.
9. Governing Law
These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Rivers State, Nigeria.
